1. Agreement to Terms

By accessing or using the services provided by Alphatok Technology Pte Ltd ("Alphatok", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Alphatok provides AI-driven platforms, enterprise software solutions, consulting services, and related technology services. The specific terms of any service engagement will be outlined in a separate service agreement or statement of work.

3. Use of Our Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the services in any way that violates any applicable law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services
• Attempt to gain unauthorized access to any portion of the services
• Use the services to transmit any malicious code or harmful content
• Impersonate or attempt to impersonate Alphatok or any other person or entity
• Use any automated means to access the services without our written consent

4. Intellectual Property Rights

The services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Alphatok, its licensors, or other providers of such material and are protected by intellectual property laws.

5. User Content

Any content you submit, post, or display on or through our services remains your property. By submitting content to our services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display such content in connection with operating and providing our services.

6. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

7. Payment Terms

For paid services, payment terms will be specified in the applicable service agreement. Unless otherwise stated, all fees are non-refundable. We reserve the right to modify our pricing with reasonable notice.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ALPHATOK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHATOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alphatok and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
